The aggregate market value of the voting stock held by non-affiliates of the Registrant was approximately $121,150,177 as of the last business day of the Registrant’s most recently completed second quarter, based upon the closing sale price on the Nasdaq National Market reported for such date. EXPLANATORY NOTE

     PDF Solutions, Inc. (“PDF” or the “Company”) is filing this Amendment No. 1 on Form 10-K/A (this “Amendment”) to amend the Company’s Annual Report on Form 10-K for the year ended December 31, 2003, as filed with the Securities and Exchange Commission on March 15, 2004. Specifically, the purpose of this Amendment is to correct typographical errors in the certification of the principal executive officer and of the principal financial officer pursuant to section 302 of the Sarbanes-Oxley Act of 2002. This Amendment speaks as of the original filing date of PDF’s Annual Report on Form 10-K. Except for such exhibits, no other changes to the Annual Report on Form 10-K are being made by means of this filing.
